1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Mangold, Inc., a Delaware corporation doing business as CITRON.AI ("Company," "we," "us," or "our").

By creating an account, accessing, or using CITRON.AI at pro.citron.ai or any related services (collectively, the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

If you do not agree to these Terms, you must not access or use the Service. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Eligibility

You must be at least 18 years of age (or the age of majority in your jurisdiction, whichever is greater) to use the Service. By using the Service, you represent and warrant that:

• You meet the minimum age requirement
• You have the legal capacity to enter into a binding agreement
• You are not prohibited from using the Service under any applicable law
• You are not located in a jurisdiction where access to financial information services is restricted or prohibited

3. Description of the Service

CITRON.AI is an AI-powered financial information platform. The Service includes, but is not limited to:

• BILL AI — An AI assistant that answers market-related questions using live data from multiple financial APIs
• AI Signals — AI-generated trading signals for stocks and cryptocurrencies, including entry price, target price, stop-loss levels, confidence scores, and historical win-rate data
• Chart Analytics — Technical analysis tools with AI-powered chart pattern recognition
• Market Intelligence — Insider trading tracking, congressional trades, earnings calendars, sector rotation analysis, economic indicators, and news aggregation

We reserve the right to modify, add, or remove features of the Service at any time, with or without notice.

4. Important Disclaimer — Not Financial Advice

4.1 Regarding AI Signals

AI Signals are generated by automated algorithms that score assets based on publicly available data, including fundamental metrics, technical indicators, and sentiment analysis. You expressly acknowledge and agree that:

• AI Signals are not personalized investment recommendations tailored to your financial situation, risk tolerance, or investment objectives
• Entry prices, target prices, and stop-loss levels are algorithmically generated estimates, not guarantees of execution or future price levels
• Confidence scores and win-rate percentages reflect historical model performance and do not guarantee future results
• Past performance of any signal, asset, or strategy does not guarantee or predict future performance
• Signals may be delayed, inaccurate, or based on incomplete data
• Market conditions can change rapidly, making any signal obsolete immediately after publication

4.2 Regarding BILL AI

BILL AI uses large language models (LLMs) and real-time financial APIs to generate responses. You acknowledge that:

• AI-generated responses may contain errors, inaccuracies, or "hallucinations" (plausible-sounding but factually incorrect information)
• Responses do not account for your personal financial circumstances
• Data sourced from third-party APIs may be delayed, incomplete, or inaccurate
• BILL AI is a technology tool, not a registered financial advisor or fiduciary

4.3 Your Responsibility

You are solely responsible for your own investment and trading decisions. You should always conduct your own independent research and due diligence, and consult with a qualified, licensed financial advisor, tax professional, or attorney before making any financial decisions. Never invest more than you can afford to lose.

5. No Fiduciary or Advisory Relationship

Use of the Service does not create any of the following relationships between you and Mangold, Inc.:

• Investment advisor – client
• Broker-dealer – customer
• Fiduciary – beneficiary
• Financial planner – client
• Attorney – client

Mangold, Inc. is not registered as an investment adviser, broker-dealer, or financial planner with the U.S. Securities and Exchange Commission (SEC), the Financial Industry Regulatory Authority (FINRA), or any state securities regulatory authority. We are a technology company that provides informational tools.

6. Account Registration and Security

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete registration information
• Maintain the security and confidentiality of your login credentials
• Immediately notify us at contact@citron.ai of any unauthorized access or security breach
• Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms, contain false information, or are used fraudulently.

7. Subscription Plans, Pricing, and Payment

7.1 Plans

The Service offers the following tiers:

• Free: Limited access — 3 lifetime BILL AI questions, 1 chart analysis, preview of 1 AI Signal
• Pro Monthly: $19/month — unlimited access to all features
• Pro Yearly: $99/year — unlimited access to all features (best value)

7.2 Billing and Renewal

Subscriptions are billed in advance on a recurring basis (monthly or annually). Your subscription will automatically renew at the end of each billing cycle at the then-current price, unless you cancel before the renewal date. You authorize Mangold, Inc. to charge your payment method on file for all applicable fees.

7.3 Price Changes

We reserve the right to change subscription prices. We will provide at least 30 days' advance notice of any price increase. Price changes will take effect at your next renewal. If you do not agree to a price change, you may cancel before the renewal date.

7.4 Payment Processing

All payments are processed securely by Stripe, Inc. We do not store your full credit card number on our servers. By providing payment information, you represent that you are authorized to use the payment method.

8. Cancellation and Refund Policy

8.1 Cancellation

You may cancel your subscription at any time by:

• Using the "Manage Subscription" link in your account settings (powered by Stripe)
• Emailing contact@citron.ai

Upon cancellation, your Pro access will remain active until the end of your current billing period. You will not be charged for subsequent periods.

8.2 Refund Policy

All subscriptions are non-refundable. This policy exists because every interaction with the Service incurs real costs for AI inference, real-time market data feeds, and API usage that cannot be recovered.

We encourage all users to try our free tier (3 free BILL AI questions and 1 free AI Signal preview) before subscribing to evaluate whether the Service meets their needs.

9. Prohibited Conduct

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable local, state, national, or international law
• Share, transfer, or sell your account credentials to any third party
• Use a single account for multiple individuals or entities
• Scrape, crawl, spider, or use automated means to access or extract data from the Service
• Reverse engineer, decompile, disassemble, or attempt to derive source code or AI model weights from the Service
• Redistribute, republish, or resell any content, signals, or analysis from the Service without prior written consent
• Interfere with, disrupt, or create an undue burden on the Service or its infrastructure
• Circumvent or attempt to circumvent any access restrictions, rate limits, or security features
• Use the Service to engage in market manipulation, front-running, or any form of securities fraud
• Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity

10. Intellectual Property

All content, features, functionality, algorithms, AI models, trade names, trademarks, service marks, and visual design elements of the Service are and remain the exclusive property of Mangold, Inc. and are protected by U.S. and international copyright, trademark, patent, trade secret, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use in accordance with these Terms. This license does not include the right to copy, modify, distribute, sell, or lease any part of the Service.

11. Third-Party Services and Data

The Service integrates data from third-party providers, including but not limited to Financial Modeling Prep, Polygon, Finnhub, Alpha Vantage, CoinGecko, FRED, and others. We do not control the accuracy, completeness, or timeliness of third-party data and are not responsible for any errors or omissions in such data.

The Service may contain links to third-party websites or services. We are not responsible for the content, privacy practices, or terms of any third-party sites.

You expressly acknowledge and agree that:

• Trading and investing in stocks, cryptocurrencies, and other financial instruments involves substantial risk of loss, including the possible loss of your entire principal
• AI-generated signals and analysis have inherent limitations and may be inaccurate
• You have the financial capacity and risk tolerance appropriate for any trading or investment activities you undertake
• You assume full responsibility for all trading and investment decisions you make, whether or not influenced by information obtained through the Service

15. Indemnification

You agree to indemnify, defend, and hold harmless Mangold, Inc. and its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of or access to the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; (d) any trading or investment decisions you make; or (e) any content you submit or transmit through the Service.

16. Dispute Resolution and Arbitration

16.1 Informal Resolution

Before initiating any formal dispute resolution, you agree to first contact us at contact@citron.ai and attempt to resolve the dispute informally for at least 30 days.

16.2 Binding Arbitration

If informal resolution fails, any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules. The arbitration shall take place in Dover, Delaware, or remotely via video conference at the discretion of the arbitrator. The language of arbitration shall be English.

16.3 Class Action Waiver

Notwithstanding the above, either party may bring an individual action in small claims court or seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property rights.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. To the extent that litigation is permitted under these Terms, the exclusive jurisdiction and venue shall be the state and federal courts located in Kent County, Delaware.

18. Service Availability and Modifications

We strive to maintain Service availability but do not guarantee uninterrupted or error-free operation. We reserve the right to:

• Modify, update, or discontinue any feature of the Service at any time
• Perform scheduled or unscheduled maintenance
• Temporarily or permanently suspend the Service or your access to it
• Change the frequency, timing, or content of AI Signals

19. Electronic Communications

By creating an account, you consent to receive electronic communications from us, including but not limited to transactional emails, signal alerts, product updates, and marketing communications. You may opt out of non-essential communications at any time through your account settings or by clicking "unsubscribe" in any email. Opting out of transactional emails related to your account or subscription is not available.

20. Changes to These Terms

We may update these Terms at any time. For material changes, we will provide at least 30 days' notice by posting the revised Terms on this page and updating the "Last Updated" date, and by sending a notification to the email address associated with your account. Your continued use of the Service after the effective date of any changes constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.

21. Termination

We reserve the right to suspend or terminate your account and access to the Service, in our sole discretion, at any time and for any reason, including but not limited to violation of these Terms. Upon termination:

• Your right to access and use the Service will immediately cease
• We may delete your account data in accordance with our Privacy Policy
• Sections 4, 5, 10, 12–17, and 23 shall survive termination

22. General Provisions

22.1 Entire Agreement

These Terms, together with the Privacy Policy, Disclaimer, and Refund Policy, constitute the entire agreement between you and Mangold, Inc. regarding the Service and supersede all prior agreements and understandings.

22.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

22.3 Waiver

The failure of Mangold, Inc. to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

22.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

22.5 Force Majeure

Mangold, Inc. shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemic, war, terrorism, riots, government actions, power failures, internet outages, or third-party service disruptions.
